These Terms of Service (“Terms”) govern your access to and use of Starply, a software service that helps you draft and manage replies to Google reviews on your Google Business Profile. Starply is available at starply.eu.
By creating an account or using Starply, you agree to these Terms. If you don't agree, don't use the service.
1. Who we are
Starply is operated by Mathys Seynaeve (“Starply”, “we”, “us”), acting as an individual based in Luxembourg. Contact: contact@starply.eu.
The service is provided to you (“Customer”, “you”) under a written quote or order form that references these Terms. Where the quote or order form conflicts with these Terms, the quote or order form prevails.
2. Definitions
- Service. The Starply web application and related features.
- Customer Content. Google Business Profile data you connect to Starply (reviews, locations, owner replies) and any content you submit (brand voice settings, edits, approved replies).
- Google Data. Data accessed via Google APIs with your authorization.
- AI Output. Replies, drafts, or other content generated by AI models on your behalf.
- Order Form. The quote, invoice, or written agreement between you and Starply that describes fees and subscription terms.
3. Eligibility and account
Starply is currently invite-only. By accepting an invitation and creating an account, you represent that:
- You are at least 18 years old and have legal capacity to enter into a contract.
- You are the owner or an authorized representative of the business whose Google Business Profile you connect.
- The information you provide is accurate and kept up to date.
You are responsible for keeping your login credentials confidential and for all activity on your account. Notify us immediately at contact@starply.eu if you suspect unauthorized access.
4. Your use of the Service
4.1 License
Subject to these Terms and your payment of fees, Starply grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own business purposes during the subscription term.
4.2 Acceptable use
You agree not to:
- Use the Service to publish content that is unlawful, defamatory, harassing, deceptive, or infringing.
- Attempt to reverse engineer, copy, or resell the Service.
- Circumvent security, rate limits, or access controls.
- Use the Service on behalf of a business you are not authorized to represent.
- Use the Service to violate Google's terms of service or the Google API Services User Data Policy.
We may suspend or terminate accounts that breach these rules.
4.3 Google Business Profile connection
To use Starply you connect your Google Business Profile via Google OAuth. You grant Starply permission to read reviews and post owner replies on your behalf under the scope of the permissions you approve. You can revoke this access at any time from your Google security settings or by contacting us.
You remain responsible for complying with Google's own terms and for ensuring you have the right to manage the Business Profile you connect.
5. AI-generated replies
Starply uses AI models (currently Anthropic Claude) to draft suggested replies. You understand and agree that:
- AI Output is generated based on the review text and your brand voice settings.
- AI Output may contain errors, inaccuracies, or tone that doesn't fit. You are responsible for reviewing each reply before it is published to Google, unless you explicitly opt in to auto-reply rules.
- You own the AI Output you approve and publish. You are responsible for its content.
- Starply is not liable for replies that you approved, even if they later prove inappropriate for a specific guest or situation.
We strongly recommend a human review of replies to reviews rated 1 to 3 stars.
6. Fees and payment
6.1 Fees
Fees are set out in your Order Form. They typically consist of:
- A one-time setup fee, payable upfront before onboarding starts.
- A recurring monthly subscription fee, billed monthly in advance.
All fees are in euros (€) and exclude VAT. As of the effective date, Starply operates under the Luxembourg small-business exemption (régime de franchise, art. 57 de la loi TVA) and therefore does not charge VAT. If this changes, we will notify you at least 30 days in advance and update invoices accordingly.
6.2 Payment
Setup fees are paid by bank transfer or card link against an invoice. Recurring subscriptions are billed via a payment provider (currently Stripe) with SEPA Direct Debit or card. You authorize recurring charges when you provide your payment details.
6.3 Late payment
If an invoice is not paid within 30 days of the due date, we may suspend access to the Service until the balance is cleared. Statutory late-payment interest applies under Luxembourg law.
6.4 Taxes
You are responsible for any taxes applicable to your use of the Service other than taxes based on Starply's income.
7. Term, cancellation, and termination
7.1 Term
Your subscription runs month-to-month from the start date set in your Order Form, automatically renewing each month unless cancelled.
7.2 Cancellation by you
You can cancel at any time by emailing contact@starply.eu. Cancellation takes effect at the end of the current billing month. We don't charge cancellation fees, but we don't refund the setup fee or the current month's subscription.
7.3 Termination by us
We may suspend or terminate your account for:
- Material breach of these Terms, including non-payment after notice.
- Use of the Service in a way that creates legal or security risk for Starply, other customers, or Google.
- Revocation of the Google authorization that the Service depends on.
7.4 Effect of termination
On termination:
- Your right to use the Service ends immediately.
- We will delete your Customer Content within 30 days, except where retention is required by law (e.g., invoices).
- You can request an export of your data before termination takes effect.
8. Intellectual property
Starply owns all rights in the Service, including software, design, and brand. These Terms do not transfer any ownership to you.
You own your Customer Content. You grant Starply a limited license to host, process, and transmit Customer Content solely to provide the Service to you.
9. Data protection
Starply processes personal data as described in the Privacy Policy, which is incorporated into these Terms by reference.
Where Starply processes personal data on your behalf (for example, reviewer data from your Google Business Profile), we act as a data processor and you act as the controller. On request, we will sign a data processing agreement (DPA) reflecting the requirements of GDPR Art. 28.
10. Warranties and disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Starply disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement, uninterrupted availability, and accuracy of AI Output.
Starply does not guarantee any particular impact on your Google ranking, review volume, or business outcomes.
11. Limitation of liability
To the maximum extent permitted by law:
- Starply is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or loss of business opportunity.
- Starply's total aggregate liability arising from or related to the Service is capped at the fees you paid to Starply in the 12 months preceding the event giving rise to the claim.
Nothing in this section limits liability for death, personal injury, fraud, gross negligence, or any other liability that cannot be limited under Luxembourg law.
12. Indemnification
You agree to defend and indemnify Starply against any third-party claims arising from:
- Your Customer Content, including any reply you approve and publish.
- Your misuse of the Service.
- Your breach of these Terms or of Google's terms of service.
13. Changes to these Terms
We may update these Terms to reflect changes in the Service, legal requirements, or our business. We will notify you by email at least 30 days before material changes take effect. Continued use after the effective date means you accept the new Terms. If you don't accept them, you can cancel your subscription before they take effect.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Grand Duchy of Luxembourg, without regard to its conflict of laws rules. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts of Luxembourg City.
15. Miscellaneous
- Entire agreement. These Terms, together with your Order Form and the Privacy Policy, form the entire agreement between you and Starply regarding the Service.
- Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
- No waiver. Failure to enforce a provision does not waive it.
- Assignment. You may not assign these Terms without our written consent. Starply may assign these Terms in connection with a corporate restructuring or sale of the business.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (natural disasters, infrastructure outages at third-party providers, acts of government, etc.).
